Against the backdrop of rapid national digital transformation and administrative reform, the transition from traditional enterprise registration methods to an electronic environment is an inevitable step toward establishing a modern, transparent, and business-friendly investment environment. Most recently, the Government promulgated Decree No. 296/2026/ND-CP, amending and supplementing a number of provisions of Decree No. 168/2025/ND-CP, introducing significant reforms aimed at simplifying enterprise registration dossiers and procedures to the greatest extent possible.   1. Online enterprise registration dossier effective from 23 July 2026

Preparing a valid enterprise registration dossier in a digital environment requires strict compliance with both substantive legal requirements and technical formatting requirements. Pursuant to Clause 1, Article 38 of Decree No. 168/2025/ND-CP of the Government, as amended and supplemented by Decree No. 296/2026/ND-CP, an online enterprise registration dossier must:

– Include the documents prescribed under the 2020 Law on Enterprises, as amended and supplemented in 2025, and Decree No. 168/2025/ND-CP.

– Be presented in the form of electronic documents or electronic data in accordance with the applicable laws.

An online enterprise registration dossier shall have the same legal validity as an enterprise registration dossier submitted in paper form.

At the same time, pursuant to Clause 2, Article 38 of Decree No. 168/2025/ND-CP, as amended and supplemented by Decree No. 296/2026/ND-CP, in order to ensure that the dossier is smoothly received and processed from the first submission, the person establishing the enterprise should note that an online enterprise registration dossier must satisfy the following requirements:

– It must contain all required documents, and the contents of such documents must be fully declared in accordance with the requirements applicable to a paper dossier, and must be presented in the form of electronic documents or electronic data containing all information required for a paper enterprise registration dossier.

– The enterprise registration information declared on the National Business Registration Portal must be complete and accurate and consistent with the information contained in the dossier.

– The telephone number and email address of the dossier submitter must be provided on the National Business Registration Portal.

Note: Where another person is authorized to carry out the enterprise registration procedures, the online enterprise registration dossier must be accompanied by the documents and materials prescribed in Article 12 of Decree No. 168/2025/ND-CP, which must be presented in the form of electronic documents or electronic data.

Where a dossier is received through the National Business Registration Information System after working hours or on a public holiday, New Year’s holiday, or other statutory day off, the time limit for processing and returning the result of the enterprise registration procedure shall be calculated from the next working day following the date on which the dossier is received.

  1. Procedures for online enterprise registration effective from 23 July 2026

After preparing a complete electronic enterprise registration dossier in accordance with the applicable regulations, the dossier submitter shall submit the dossier through the electronic information system. The dossier processing procedure has been optimized to minimize manual operations and enhance automation.

Pursuant to Article 39 Decree No. 168/2025/ND-CP, as amended and supplemented by Decree No. 296/2026/ND-CP, the dossier submitter shall log in to the National Public Service Portal or the national identification application using an electronic identification account to access the National Business Registration Information System.

Note: The law provides for different procedures for carrying out enterprise registration through the National Business Registration Information System depending on the type of person submitting the application, as follows:

* Where the dossier submitter is the person authorized to sign the enterprise registration application

– The dossier submitter shall declare the required information on the National Business Registration Information System:

+ For applications or notifications containing information to be declared directly on the National Business Registration Information System and requiring only the signature of the dossier submitter, the dossier submitter is not required to affix a digital signature or sign directly as prescribed and is not required to upload such documents to the National Business Registration Information System.

+ For other documents included in the registration dossier as prescribed, the dossier submitter must ensure that such documents are digitally signed or directly signed as prescribed, presented in electronic form, and uploaded to the National Business Registration Information System.

+ For applications or notifications containing information to be declared on the National Business Registration Information System that require the signatures of multiple persons, as well as other documents included in the registration dossier as prescribed, the dossier submitter must ensure that such documents are digitally signed or directly signed as prescribed, presented in electronic form, and uploaded to the National Business Registration Information System.

– The dossier submitter shall pay the applicable fees and charges, if any, and complete the required electronic authentication procedures in order to submit the dossier. Upon successful submission, the dossier submitter shall receive an electronic acknowledgement of receipt and an electronic appointment notice specifying the date for returning the result.

* Where the dossier submitter is an authorized person carrying out the enterprise registration procedures

– The dossier submitter shall declare the required information and upload the documents included in the registration dossier as prescribed to the National Business Registration Information System. Such documents must be digitally signed or directly signed as prescribed and presented in electronic form.

– The dossier submitter shall pay the applicable fees and charges, if any, and complete the required electronic authentication procedures in order to submit the dossier. Upon successful submission, the dossier submitter shall receive an electronic acknowledgement of receipt and an electronic appointment notice specifying the date for returning the result.

After the dossier submitter completes the online enterprise registration procedure, the enterprise registration information recorded on the National Business Registration Information System shall be transmitted to the Tax Registration Application System for coordination and information exchange between the provincial-level Business Registration Authority and the tax authority.

Following the coordination and information exchange process, the provincial-level Business Registration Authority shall review the validity of the dossier and return the result of the dossier processing to the enterprise. The dossier submitter shall log in to the National Business Registration Information System to receive the response regarding the result of the dossier processing.
