What documents are required to register a private enterprise at the end of the year? How many sets of documents should be submitted when registering a private enterprise? According to Clause 1, Article 24 of Decree No. 168/2025/ND-CP, the regulations are as follows:

Business registration documents for private enterprises, partnership companies, limited liability companies, and joint-stock companies

The registration documents for a private enterprise are prescribed in Article 19 of the Enterprise Law. In cases where the owner of the private enterprise declares their personal identification number as stipulated in Clause 1, Article 11 of this Decree, the registration documents do not include copies of legal documents of the owner.

Registration documents for partnership companies are prescribed in Article 20 of the 2020 Enterprise Law, amended in 2025. If members are individuals or authorized representatives of organizational members declare their personal identification number as stipulated in Clause 1, Article 11 of this Decree, the registration documents do not include copies of legal documents of these individuals.

Registration documents for limited liability companies are prescribed in Article 21 of the 2020 Enterprise Law, amended in 2025. For single-member limited liability companies, the documents do not include the list of members as prescribed in Clause 3, Article 21 of the Enterprise Law. If the owner or members are individuals, or authorized representatives declare their personal identification number as stipulated in Clause 1, Article 11 of this Decree, the registration documents do not include copies of their legal documents.

Accordingly, the registration documents for a private enterprise are prescribed in Article 19 of the Enterprise Law:

  1. Application for business registration

  2. Copy of legal documents of the owner of the private enterprise

Note: If the owner declares their personal identification number according to Clause 1, Article 11 of Decree 168/2025/ND-CP, the registration documents do not include copies of the owner’s legal documents.

HOW MANY COPIES OF DOCUMENTS TO SUBMIT WHEN REGISTERING A PRIVATE ENTERPRISE?

According to Article 9 of Decree 168/2025/ND-CP:

  • The founder or the enterprise submits 01 set of registration documents when performing business registration procedures.

  • The business registration authority cannot request more than 01 set of documents or other papers beyond those required by the Enterprise Law and this Decree.

Therefore, only 01 set of registration documents is needed when registering a private enterprise.

PROCEDURE FOR ONLINE BUSINESS REGISTRATION UNDER THE LATEST REGULATIONS OF DECREE 168?

According to Article 39 of Decree 168/2025/ND-CP:

  1. The applicant uses an electronic identification account to log into the National Business Registration Portal, fill in information, upload electronic documents, digitally sign or authenticate the registration documents, and pay fees according to the portal procedure.

  2. After submitting the registration documents, the applicant receives an electronic receipt and a schedule for the results via their account.

  3. Business registration information on the National Business Registration System is transmitted to the Tax Registration System for coordination and information exchange between the provincial business registration authority and the tax authority.

  4. If the documents meet the conditions for business registration, the provincial business registration authority issues the business registration certificate and notifies the enterprise.

  5. If the documents are incomplete or incorrect, the provincial business registration authority sends a notification via the electronic system requesting corrections. The applicant logs into the system to receive feedback on the processing result.

  6. The founder or enterprise may stop the registration procedure at any time according to Clause 6, Article 31 of Decree 168/2025/ND-CP.
