Procedures for registering changes in partnership members, members of limited liability companies with two or more members in 2025 at the provincial level?

Pursuant to Section 7, Part II of Decision 2354/QD-BTC of 2025, the procedures for registering changes in general partnership members and registering changes in members of LLCs with two or more members in 2025 at the provincial level are as follows:

*In case of direct registration or via postal service:

In case of termination of general partnership membership or acceptance of new general partnership members as prescribed in Articles 185 and 186 of the Law on Enterprises, the partnership shall submit a dossier for registration of changes in business registration contents to the provincial-level Business Registration Office where the company has its head office.

– In case of registration of changes in members of LLCs with two or more members, the company shall submit a dossier for registration of changes in business registration contents to the provincial-level Business Registration Office where the company has its head office.

After receiving the business registration dossier, the provincial-level Business Registration Office shall issue a dossier receipt and schedule a return of results to the dossier submitter. Within 03 working days from the date of receiving the business registration dossier, the provincial business registration authority shall review the validity of the dossier and issue a Business Registration Certificate to the enterprise according to regulations; in case the dossier is invalid, the provincial business registration authority shall notify the enterprise in writing of the contents that need to be amended or supplemented.

* In case of registration via the electronic information network:

The dossier submitter uses an electronic identification account to log in to the National Business Registration Information Portal, declare information, download electronic documents, digitally sign or authenticate the business registration dossier via the electronic information network and pay the business registration fee according to the process on the National Business Registration Information Portal.

The authorized person and the authorized person must authenticate electronically to be granted a business registration. In case the electronic authentication is interrupted, the authorized person shall perform the electronic authentication after being granted a business registration.

After completing the submission of the business registration application, the applicant will receive a receipt of the application and an appointment to return the results electronically via the applicant’s account.

In case the dossier meets the conditions for granting a business registration, the provincial business registration authority shall grant the business registration and notify the enterprise of the granting of the business registration. In case the dossier does not meet the conditions for granting a business registration, the provincial business registration authority shall send a notice via the electronic information network to the enterprise requesting amendments and supplements to the dossier. The dossier submitter logs into the National Business Registration Information System to receive feedback on the results of the dossier processing.

* Announcement of business registration contents:

After being granted a Business Registration Certificate, the enterprise must publicly announce it on the National Business Registration Information Portal and must pay fees according to the provisions of law. The announcement includes the contents of the Business Registration Certificate and the following information:

– Business lines

– List of founding shareholders; list of shareholders who are foreign investors for joint stock companies (if any).

In case of changes to the business registration contents, the corresponding changes must be publicly announced on the National Business Registration Information Portal.

The deadline for publicly announcing information about the business is 30 days from the date of publication.

Information on the announcement of business registration contents is posted on the National Business Registration Information Portal.

The request for announcement of business registration contents and payment of the fee for announcement of business registration contents are made at the time the business submits the business registration dossier. In case the business is not granted a business registration, the business will be refunded the fee for announcement of business registration contents.

Pursuant to Section 7, Part II of Decision 2354/QD-BTC in 2025, the procedure for registering changes in general partnership members and members of LLCs with two or more members in 2025 at the provincial level is as follows:

The person establishing the enterprise or the authorized person shall register the enterprise with the Business Registration Authority in the following ways:

– Register directly at the Business Registration Authority

– Register via postal service

– Online via the National Business Registration Information Portal.

Pursuant to Section 7, Part II of Decision 2354/QD-BTC in 2025, the agency handling the procedures for registration of changes in general partnership members and registration of changes in members of LLCs with two or more members in 2025 at the provincial level is as follows:

– The business registration agency under the Department of Finance of the province or centrally run city shall issue business registration certificates to enterprises, branches, representative offices, and business locations with addresses in the province or centrally run city within the scope of local management, except for the Management Board of the high-tech park.

The business registration agency may organize points to receive dossiers and return results under the business registration agency at different locations in the provincial area

– The Management Board of the high-tech park shall issue business registration certificates to enterprises, branches, representative offices, and business locations with addresses located in the high-tech park.

The business registration agency under the Department of Finance of the province or centrally-run city and the Management Board of the high-tech zone are collectively referred to as the provincial business registration agency.
