Online Bookkeeping in Vietnam When You Manage the Company From Abroad
Online bookkeeping in Vietnam can handle most routine accounting work for an owner living overseas, because Vietnamese law accepts electronic accounting documents, electronic ledgers and electronic tax filing. It cannot remove three local anchors: a legal representative residing in Vietnam under Article 12(3) of the Law on Enterprises 59/2020/QH14, accounting records stored in Vietnam under Article 11(2) of Decree 174/2016/ND-CP, and the company’s own legal responsibility for its books.

This article is for foreign owners and group finance teams overseeing a Vietnamese company from a distance. It separates services from software, shows what online bookkeeping in Vietnam can do remotely and what still needs someone on the ground, and proposes a remote approval process. The scope is ordinary foreign-invested enterprises; specially regulated sectors may have extra rules. Sources were checked on 04/11/2026.
Online Bookkeeping in Vietnam as a Service or as Software
Online bookkeeping in Vietnam can mean two different things, and search results often mix them. One is software: a cloud program in which your own staff record transactions. The other is a service: a provider keeps the books for you and shares documents and reports online. Buying the first does not give you the second.
| Aspect | Accounting software | Online bookkeeping service |
|---|---|---|
| Who records transactions | Your staff | The provider, under a written contract |
| What you buy | A licence or subscription | Accounting work and related outputs |
| Main legal test | The software must meet the minimum requirements in Article 28 of Circular 99/2025/TT-BTC | The contract and the provider must meet Article 56 of the Law on Accounting |
| Who is responsible for the figures | Management and the chief accountant or person in charge of accounting, for data from the software | The provider, for the accounting information under the contract; the legal representative keeps the duties in Article 50 |
| Suits | Companies with accounting staff | Companies with no local finance team |
Article 56 of the Law on Accounting 88/2015/QH13 allows a company to hire accounting services, and clause 2 requires a written contract. Clause 1 refers to accounting service enterprises or household businesses, so check that the provider of online bookkeeping in Vietnam is actually permitted to supply the service, and not merely able to log in to your software.
The rules on this point are changing. Accounting services have been off the list of conditional business lines since 1 July 2026 under Resolution 66.17/2026/NQ-CP, and they are not on the list that Law 24/2026/QH16 applies from 1 March 2027. A bill amending the Law on Accounting is before the National Assembly. Check the rules in force when you sign.
What the Law Allows for Online Bookkeeping in Vietnam
The legal basis of online bookkeeping in Vietnam comes from several rules, and none of them uses this term. The table below links each remote activity to its rule.
| Activity | Rule | Basis |
|---|---|---|
| Electronic accounting documents | An electronic document counts as an accounting document if it has all mandatory content, and it must be kept safe and intact | Articles 16 and 17 of the Law on Accounting |
| Electronic signing | Electronic documents need an electronic signature or another form of electronic confirmation under the law on electronic transactions | Article 19(4) of the Law on Accounting |
| Electronic ledgers | A company may keep its books by electronic means; ledger rules still apply, except for stamping across pages | Article 26(7) of the Law on Accounting |
| Electronic storage | Records may be stored electronically instead of in print if the data is safe, secure and retrievable throughout the retention period | Articles 18(6) and 26(7) of the Law on Accounting; Article 10(1) of Decree 174/2016/ND-CP |
| E-invoices | The seller issues e-invoices after registering to use them; invoices are stored as data messages and must be printable or retrievable on request | Articles 4 and 5(2) of Decree 254/2026/ND-CP |
| Electronic tax filing | The taxpayer needs an electronic tax account, an internet connection and an electronic signature, subject to the listed exceptions | Article 8(1) of Circular 89/2026/TT-BTC |
Timing is flexible too. Article 11(1)(a) of Circular 89/2026/TT-BTC allows electronic tax transactions 24 hours a day, 7 days a week. For an owner in another time zone, online bookkeeping in Vietnam therefore does not depend on local office hours, although filing deadlines still follow Vietnamese rules.
Software matters as well. Under Article 28(1) of Circular 99/2025/TT-BTC, accounting software must keep a trail of changes, secure the data, warn against or prevent deliberate changes to recorded data, and produce outputs on request. Before accepting online bookkeeping in Vietnam on a particular program, ask how each of these points is met.
What Online Bookkeeping in Vietnam Cannot Replace
Online bookkeeping in Vietnam changes how the work is done, not who is responsible. The four points below still need handling on the ground or at the top management level.
- Resident legal representative. Article 12(3) of the Law on Enterprises requires a company to have at least one legal representative residing in Vietnam. If only one remains and that person leaves the country, they must authorise another individual residing in Vietnam in writing and remain responsible for what they authorised.
- Records kept in Vietnam. While operating in Vietnam, Article 11(2) of Decree 174/2016/ND-CP requires the accounting records of a foreign-invested enterprise to be kept at the accounting unit in Vietnam, or at a storage organisation hired in Vietnam.
- Paper copies on request. Article 10(2) of the same decree requires a company using electronic storage to print records when a competent authority asks, confirmed by the legal representative or chief accountant and stamped if there is a seal.
- Personal responsibility. Under Article 41(4) of the Law on Accounting, the legal representative is responsible for organising the storage of accounting records. Under Article 50(3), that person is also directly responsible for organising the accounting work.
The decree does not address cloud servers directly. An owner using online bookkeeping in Vietnam should therefore ask where the data and originals sit and how the Vietnamese entity will produce them, rather than assume that remote access satisfies Article 11(2). Confirm this before moving any records.
Language and Reporting When Online Bookkeeping in Vietnam Serves an Overseas Parent
Most overseas owners want reports they can read without translation. Article 11(1) of the Law on Accounting makes Vietnamese the language of accounting; a foreign language used in financial statements in Vietnam must appear together with Vietnamese. Bilingual reports from online bookkeeping in Vietnam can be prepared from the Vietnamese books, but they do not replace those books.
One small rule helps group reporting. Article 11(3) allows an enterprise that sends financial statements to an overseas parent, or shares management software with it, to use a comma as the thousands separator, with a note in the document. Reports filed with the tax authority and other state bodies still follow the Vietnamese number format.
A Monthly Process for Online Bookkeeping in Vietnam
A remote model works when each step has an owner and a date. The process below is our professional view of how online bookkeeping in Vietnam can run for a small company with an overseas owner. Filing dates depend on whether the company files monthly or quarterly.
| Step | Who does it | What happens | Record kept |
|---|---|---|---|
| 1. Collect | Local contact or staff member | Upload contracts, invoices and receipts to a shared folder | Monthly folder |
| 2. Approve | Owner or authorised person | Approve spending before payment | Approval log |
| 3. Record | Bookkeeper | Post from accounting documents and reconcile the bank | General ledger and bank reconciliation |
| 4. Review | Chief accountant or person in charge of accounting | Review balances, tax accounts and unusual items | Review notes |
| 5. File | Authorised signatory or tax agent | Sign and submit electronic returns | Electronic receipt notice |
| 6. Report | Provider | Send the management report pack in the agreed language | Monthly report |
Step 2 reflects a legal rule, not only good practice. Article 19(3) of the Law on Accounting requires payment documents to be approved by the authorised person and signed by the chief accountant or their delegate before payment. If the owner is overseas, set up a written authorisation so that online bookkeeping in Vietnam does not stall when a supplier must be paid.
Step 5 of online bookkeeping in Vietnam has two common models. Under Article 10(2)(a) of Circular 89/2026/TT-BTC, the taxpayer signs with its registered electronic signature. Under Article 10(2)(b), a tax agent with a tax procedure service contract signs the taxpayer’s electronic file with the agent’s electronic signature. Our article on whether you need a tax agent explains this choice.
Digital signature devices and tax accounts need clear rules. State in writing who holds them, who may use them and how access is withdrawn when someone leaves. This is our professional view, not a statutory procedure, but weak control here undermines every other part of online bookkeeping in Vietnam.
Record Retention in Online Bookkeeping in Vietnam
Online bookkeeping in Vietnam does not shorten retention periods. Article 41(5) of the Law on Accounting sets a minimum of 5 years for records used for management and operation, and a minimum of 10 years for documents used directly for bookkeeping and preparing financial statements, ledgers and annual financial statements, unless another law provides otherwise. Article 41(3) requires records to be placed in storage within 12 months from the end of the annual accounting period.
Before signing for online bookkeeping in Vietnam, ask what happens to the data if the contract ends or the software subscription expires. Article 9(3) of Decree 174/2016/ND-CP lets the legal representative decide on paper or electronic storage, but either choice must be safe, complete and secure, and must provide information when a competent authority asks. Data export rights therefore belong in the contract.
6 Errors to Avoid With Online Bookkeeping in Vietnam
In our professional view, these are the points most worth checking when setting up online bookkeeping in Vietnam.
- Buying software and assuming online bookkeeping in Vietnam is now in place.
- Moving original records out of Vietnam without checking Article 11(2) of Decree 174/2016/ND-CP.
- Letting the only resident legal representative leave Vietnam without a written authorisation under Article 12(3) of the Law on Enterprises.
- Giving one person the digital signature, the bank security device and the books, with no second reviewer.
- Accepting English reports from online bookkeeping in Vietnam without confirming that they agree with the Vietnamese statutory books.
- Signing an online bookkeeping in Vietnam contract that does not state who holds the data and how it is handed over at the end.
FAQ on Online Bookkeeping in Vietnam
Is online bookkeeping in Vietnam legal? Yes, as a method. The Law on Accounting recognises electronic documents and electronic ledgers (Article 17 and Article 26(7)), and Article 56 allows a company to hire accounting services under a written contract.
Can an accountant outside Vietnam do online bookkeeping in Vietnam? This article gives no general conclusion. The location rule in Article 11(2) of Decree 174/2016/ND-CP concerns where records are kept, while the people and the provider must meet the Law on Accounting. Confirm the structure before using it.
Does online bookkeeping in Vietnam require printing everything? No. Article 10(1) of the decree allows electronic storage if the data is safe, secure and retrievable. Records must still be printed when a competent authority asks, under Article 10(2).
Can I sign tax returns from abroad? Electronic filing is not tied to a location in Circular 89/2026/TT-BTC, but the signature must be a registered electronic signature or another permitted form of confirmation. Check how the signature device or service works overseas before the deadline.
Does online bookkeeping in Vietnam require the owner to be in the country? The owner need not be present, but the company needs a legal representative residing in Vietnam under Article 12(3) of the Law on Enterprises.
